Economic and Legal Risks of Private Investors in Cross-Border Securities Investment Processes

This is a study of the law governing the investor protection mechanisms in the cross-border securities investment processes. Due to the absence of an international legal framework in this highly technical and complex field of law, this book makes an analysis of the EU, Swiss and Russian regulatory mechanisms. The cohesive analysis of these doctrinal and policy-oriented mechanisms reveals a universal model of applicable law for pre- and post-trade phases of securities investments transcending the boundaries of the various legal systems. The study covers MiFID II, FinSA, Russian Securities Market law, as well as laws on securities holding and disposition making it useful for academic and practising lawyers. It moreover searches a simplification of existing legal complexities by virtue of robotisation and blockchainisation.
